Welcome to Investra. These Terms and Conditions govern your access to and use of the Investra platform, website, services, tools, features, content, and related services.


By creating an account, accessing the platform, posting a business idea, lending, investing, browsing opportunities, or using any part of Investra, you agree to be bound by these Terms and Conditions. If you do not agree with these Terms, you must not use the platform.


1. About Investra


Investra is an online platform that connects people who need capital for their small businesses with people who may be willing to lend money, support, or invest in selected business ideas.


Business owners may post videos, descriptions, business details, funding needs, and other information to convince potential lenders or investors to support them.


Lenders or investors may review business ideas, watch videos, read business descriptions, assess the risks, and decide whether they want to lend or invest their money.


Investra provides a digital platform for connection, visibility, communication, and facilitation. Investra does not guarantee that any business will receive funding, and Investra does not guarantee that any lender or investor will receive profit, interest, repayment, or return on investment.


2. Definitions


For the purpose of these Terms:


“Investra,” “we,” “us,” or “our” refers to the Investra platform, website, owners, administrators, officers, employees, agents, representatives, and affiliates.


“User,” “you,” or “your” refers to anyone who accesses or uses the platform.


“Business Owner,” “Borrower,” or “Capital Seeker” refers to a user who posts a business idea, requests funding, seeks a loan, or receives funding through the platform.


“Lender,” “Investor,” or “Supporter” refers to a user who chooses to lend, invest, or financially support a business listed on the platform.


“Business Listing” refers to any video, description, document, profile, business proposal, campaign, or funding request posted on Investra.


“Transaction” refers to any lending, investment, repayment, funding, payment, or financial arrangement made between users.


3. Acceptance of Terms


By using Investra, you confirm that:


1. You have read, understood, and accepted these Terms.

2. You are legally allowed to use the platform.

3. You are at least 18 years old.

4. You are using the platform voluntarily.

5. You understand that lending or investing involves risk.

6. You accept full responsibility for your decisions on the platform.


If you are using Investra on behalf of a business, company, partnership, church, school, association, or organization, you confirm that you have authority to act on behalf of that entity.


4. Nature of the Platform


Investra is a platform that allows users to connect for business funding purposes.


Unless expressly stated in writing, Investra is not:


1. A bank.

2. A savings and loans company.

3. A licensed investment advisor.

4. A financial advisor.

5. A money manager.

6. A guarantor.

7. A debt collector.

8. A party to any loan agreement between users.

9. A guarantor of any borrower’s repayment.

10. A guarantor of any investor’s profit or return.

11. A partner, employer, agent, or representative of any business owner or lender.


Any loan, investment, repayment agreement, interest arrangement, profit sharing arrangement, or business funding agreement is strictly between the business owner and the lender or investor, unless Investra expressly signs a separate written agreement stating otherwise.


5. No Financial Advice


Information displayed on Investra is for general platform use only. Nothing on the platform should be taken as financial advice, legal advice, investment advice, tax advice, business advice, or a recommendation to lend, invest, or support any business.


Users must make their own independent decisions. Lenders and investors are strongly advised to conduct their own checks and seek professional advice before lending or investing.


Investra does not advise users on whether a business is safe, profitable, trustworthy, legally compliant, or suitable for investment.


6. User Eligibility


To use Investra, you must:


1. Be at least 18 years old.

2. Have legal capacity to enter into agreements.

3. Provide true and accurate information.

4. Not be barred by law from using financial, business, or online services.

5. Comply with all applicable laws and regulations.

6. Use the platform only for lawful purposes.


Investra may refuse, suspend, restrict, or terminate access to any user at any time where we believe the user has violated these Terms, provided false information, acted fraudulently, or created risk for the platform or other users.


7. Account Registration


To use certain features of Investra, you may be required to create an account.


You agree to:


1. Provide accurate and complete information.

2. Keep your login details confidential.

3. Update your information when it changes.

4. Not create an account using another person’s identity.

5. Not sell, transfer, or share your account without approval.

6. Accept responsibility for all activities that happen under your account.


Investra shall not be responsible for losses caused by your failure to protect your account login details.


8. Verification and KYC


Investra may request identification documents, business registration documents, contact details, phone numbers, photographs, videos, location details, bank or mobile money details, tax information, or other verification documents.


You agree that Investra may verify information you provide, either directly or through third parties.


However, verification does not mean that Investra guarantees a user’s honesty, creditworthiness, repayment ability, financial strength, business performance, or legal compliance.


Even where Investra reviews, checks, approves, or displays a business listing, lenders and investors remain fully responsible for their own decisions.


9. Business Owner Responsibilities


If you post a business idea or request funding on Investra, you agree that:


1. All information you provide must be true, accurate, complete, and not misleading.

2. Your video, description, business documents, and funding request must honestly represent your business.

3. You must not exaggerate, lie, hide important facts, or mislead lenders.

4. You must state clearly how much money you need and how the money will be used.

5. You must use any money received only for the purpose presented to lenders or investors.

6. You must repay any loan according to the agreement you make with the lender or investor.

7. You are fully responsible for your business operations, promises, debts, taxes, licenses, and legal obligations.

8. You must not post fake businesses, fake documents, fake photos, fake videos, or stolen content.

9. You must not use Investra to defraud, deceive, threaten, abuse, or exploit any person.

10. You must comply with all laws that apply to your business.


A business owner who receives money from a lender or investor is solely responsible for repayment, interest, returns, profit sharing, business performance, and any other promise made to the lender or investor.


Investra is not responsible for paying your debts or fulfilling your promises to lenders or investors.


10. Lender and Investor Responsibilities


If you choose to lend, invest, or support a business on Investra, you agree that:


1. You are acting voluntarily.

2. You are using your own judgment.

3. You are taking your own risk.

4. You are responsible for reviewing the business owner’s video, profile, proposal, and any available documents.

5. You are responsible for asking questions before lending or investing.

6. You are responsible for deciding whether the business is worth supporting.

7. You understand that the business may fail.

8. You understand that the borrower may delay repayment.

9. You understand that the borrower may default completely.

10. You understand that you may lose some or all of your money.

11. You understand that expected interest, profit, or return is not guaranteed.

12. You must only lend or invest money you can afford to lose.

13. You must not rely only on information displayed on Investra.

14. You must seek independent financial, legal, or business advice where necessary.


Investra shall not be liable for any loss, default, failed repayment, business failure, fraud by a user, loss of profit, loss of capital, emotional distress, or financial damage suffered because you chose to lend or invest in a business listed on the platform.


11. Investment and Lending Risk Warning


Lending or investing in small businesses is risky.


By using Investra, you understand and accept that:


1. Small businesses may fail.

2. A business owner may not repay.

3. A business may not make profit.

4. A business may misuse funds.

5. A business may be affected by market changes, inflation, theft, illness, death, poor management, competition, government policy, natural disaster, or other unexpected events.

6. A borrower may provide false or misleading information.

7. A borrower may become unreachable.

8. Legal recovery of money may be difficult, expensive, or unsuccessful.

9. The platform cannot guarantee repayment.

10. The platform cannot guarantee profit.

11. The platform cannot guarantee that any business is safe or successful.


You accept that every lending or investment decision is made at your own risk.


12. No Guarantee by Investra


Investra does not guarantee:


1. That a business owner will receive funding.

2. That a lender will find a good business.

3. That a business will succeed.

4. That a borrower will repay.

5. That a borrower will pay interest.

6. That an investor will make profit.

7. That information provided by a user is always true.

8. That a user is financially capable.

9. That a business is legally registered.

10. That a transaction will be completed.

11. That disputes will be resolved.

12. That users will act honestly.

13. That funds will be recovered if a user defaults.


Any funding, loan, investment, repayment, interest, return, profit, or agreement is strictly between the users involved.


13. User Agreements Between Lenders and Business Owners


Users are encouraged to enter into clear written agreements before any money is transferred.


Such agreements may include:


1. Amount of money provided.

2. Whether the money is a loan, investment, donation, or other support.

3. Repayment period.

4. Interest rate, if any.

5. Profit sharing arrangement, if any.

6. Default consequences.

7. Collateral, if any.

8. Identity of the parties.

9. Business purpose.

10. Dispute resolution process.


Investra is not responsible for drafting, enforcing, interpreting, or guaranteeing agreements between users, unless Investra expressly agrees in writing.


14. Payments and Third Party Payment Providers


Payments may be processed through banks, mobile money operators, payment gateways, or other third party providers.


Investra is not responsible for:


1. Failed payments caused by third party providers.

2. Delayed transfers.

3. Wrong account details provided by users.

4. Reversed transactions.

5. Payment provider downtime.

6. Bank or mobile money charges.

7. Unauthorized transactions caused by user negligence.

8. Regulatory holds, freezes, or restrictions placed by payment providers or authorities.


Users are responsible for confirming payment details before sending money.


Yes, I already added a basic version under Section 15: Fees and Charges in the Terms and Conditions.


The earlier clause said Investra may charge different fees and change fees at any time. However, the wording below is more professional, stronger, and safer. It explains why Investra may change fees, how users accept the changes, and protects the platform from liability.


Because Investra may fall under Ghana’s crowdfunding and e-commerce regulatory space, have a Ghanaian lawyer review the full Terms before publishing. Ghana’s SEC crowdfunding guidelines state that a person must not facilitate or provide investment-crowdfunding services in Ghana unless licensed as a Crowdfunding Intermediary, and the licensing criteria include fairness and transparency provisions.


You can replace Section 15 with this:


15. Fees, Charges, and Fee Changes

Investra may charge fees for the use of the platform and its services. These fees may include, but are not limited to, registration fees, service fees, listing fees, campaign fees, processing fees, transaction fees, success fees, verification fees, subscription fees, withdrawal fees, administrative fees, or any other fees that Investra may introduce from time to time.

Investra reserves the right, at its sole discretion, to introduce, review, increase, reduce, suspend, waive, or vary any fees or charges on the platform at any time where we consider it necessary for the operation, improvement, maintenance, security, compliance, sustainability, or continued provision of our services.

Different users, services, transactions, campaigns, funding requests, business categories, payment methods, or platform features may attract different fees. Investra may apply different fee structures depending on the nature of the service provided, the cost of providing that service, third-party charges, regulatory requirements, business needs, promotional offers, or operational considerations.

Where applicable, fees will be displayed on the platform, communicated to users, or made available before the relevant service, transaction, listing, withdrawal, or campaign is completed. By continuing to use the platform or proceeding with any paid service after such fees have been displayed or communicated, you agree to pay the applicable fees.


All fees paid to Investra are non-refundable unless expressly stated by Investra in writing or required by applicable law. Investra shall not be liable for any loss, claim, dispute, or dissatisfaction arising from a user’s decision to continue using the platform after a fee has been introduced, changed, or communicated.

Users are responsible for reviewing applicable fees before using any paid service on the platform. If you do not agree with any fee or fee change, your only remedy is to stop using the affected service or discontinue use of the platform.

Third-party payment providers, banks, mobile money operators, or payment gateways may also charge separate fees. Such third-party fees are not controlled by Investra and shall be the sole responsibility of the user.


16. Taxes


Users are responsible for all taxes, levies, duties, filing obligations, or government charges arising from their business activities, lending, investment, profit, interest, or transactions on the platform.


Investra does not provide tax advice.


17. Prohibited Activities


You must not use Investra for:


1. Fraud.

2. Money laundering.

3. Terrorist financing.

4. Fake business campaigns.

5. Ponzi schemes.

6. Pyramid schemes.

7. Illegal lending.

8. Illegal investment schemes.

9. Gambling.

10. Sale of illegal goods.

11. Sale of stolen goods.

12. Human trafficking.

13. Drugs or controlled substances.

14. Weapons or explosives.

15. False advertising.

16. Identity theft.

17. Harassment or threats.

18. Posting another person’s private information without consent.

19. Uploading viruses or harmful code.

20. Attempting to hack the platform.

21. Creating multiple fake accounts.

22. Using the platform to avoid legal or regulatory obligations.

23. Any activity that may harm Investra, users, or the public.


Investra may suspend or remove any account, listing, content, or transaction that we believe violates these Terms or applicable law.


18. Fraud, Misrepresentation, and False Information


Users are fully responsible for the truthfulness of the information they provide.


If a business owner provides false, incomplete, exaggerated, or misleading information, the business owner shall be personally responsible for any resulting loss, claim, dispute, legal action, or damage.


Investra may report suspected fraud or unlawful activity to relevant authorities.


Investra shall not be liable for losses caused by the false statements, fraud, misrepresentation, or misconduct of any user.


19. User Content


Users may upload videos, images, text, business descriptions, documents, comments, messages, reviews, and other content.


By uploading content to Investra, you confirm that:


1. You own the content or have permission to use it.

2. The content is accurate and lawful.

3. The content does not infringe another person’s rights.

4. The content does not contain false, abusive, defamatory, illegal, or harmful material.

5. Investra may display, publish, edit, review, promote, remove, or restrict the content for platform purposes.


You grant Investra a non-exclusive, royalty-free, worldwide license to use, display, reproduce, publish, distribute, and promote your content in connection with the platform and its marketing.


Investra may remove any content at any time without notice.


20. No Endorsement of Businesses


The appearance of a business, video, campaign, or profile on Investra does not mean that Investra endorses, recommends, guarantees, certifies, or approves that business.


Any badge, approval mark, verification status, or featured listing only means that certain platform steps may have been completed. It does not mean the business is risk-free, profitable, honest, or guaranteed to repay.


21. Communication Between Users


Investra may allow users to communicate through the platform.


Users must communicate respectfully and lawfully.


Investra is not responsible for promises, statements, representations, threats, agreements, or information exchanged between users.


Users must keep copies of important communications and agreements.


22. Disputes Between Users


Any dispute between a business owner and a lender or investor is strictly between those users.


Investra may, at its discretion, provide limited assistance, records, or communication support, but Investra is not required to resolve disputes and is not responsible for the outcome.


Users agree not to hold Investra liable for disputes, defaults, failed repayments, broken promises, business failure, or disagreements between users.


23. Collection and Use of Personal Data


Investra may collect and process personal data including names, phone numbers, email addresses, identification details, business documents, payment details, profile information, videos, photos, location information, device information, and platform activity.


We may use personal data for:


1. Account creation.

2. Identity verification.

3. Platform operation.

4. Fraud prevention.

5. Security.

6. Customer support.

7. Payment processing.

8. Compliance with law.

9. Communication with users.

10. Marketing, where permitted.

11. Improving our services.


By using Investra, you consent to the collection and processing of your personal data in accordance with our Privacy Policy and applicable law.


Users must not upload another person’s personal information without lawful permission.


24. Platform Security


We take reasonable steps to protect the platform, but we do not guarantee that Investra will always be free from bugs, viruses, cyberattacks, unauthorized access, technical problems, or service interruptions.


Users are responsible for protecting their own devices, passwords, accounts, and internet access.


Investra shall not be liable for losses caused by cyberattacks, unauthorized access, account misuse, hacking, viruses, or technical failures, except where liability cannot be excluded by law.


25. Availability of the Platform


Investra may be unavailable from time to time due to maintenance, updates, technical problems, internet failure, power failure, third party provider failure, cyber incidents, or events beyond our control.


We do not guarantee that the platform will always be available, uninterrupted, error-free, or secure.


26. Intellectual Property


All Investra logos, designs, graphics, platform content, software, features, trademarks, names, text, layouts, and branding belong to Investra or its licensors.


Users must not copy, modify, reproduce, distribute, sell, reverse engineer, or misuse any part of the platform without written permission.


Users retain ownership of content they upload, but grant Investra the right to use such content for platform operations, marketing, promotion, verification, and service delivery.


27. Suspension and Termination


Investra may suspend, restrict, or terminate your account if:


1. You violate these Terms.

2. You provide false information.

3. You engage in fraud or suspicious activity.

4. You misuse the platform.

5. You fail verification.

6. You harm or threaten other users.

7. You create legal, financial, regulatory, or reputational risk for Investra.

8. We are required to do so by law or authority.

9. We decide to discontinue the platform or any service.


Termination of your account does not remove your responsibility for agreements, debts, obligations, or liabilities already incurred with other users.


28. Limitation of Liability


To the fullest extent permitted by law, Investra shall not be liable for:


1. Loss of money.

2. Loss of capital.

3. Loss of profit.

4. Loss of expected return.

5. Failed repayment.

6. Business failure.

7. Borrower default.

8. Investor loss.

9. Fraud by users.

10. False information provided by users.

11. Disputes between users.

12. Emotional distress.

13. Reputational damage.

14. Loss of data.

15. Unauthorized account access.

16. Third party payment failure.

17. Regulatory changes.

18. Tax consequences.

19. Indirect or consequential loss.

20. Any decision made by a user to lend, invest, borrow, support, or transact.
